INSTANCES

The FOUNDATION is administered by a Board composed of 9 members divided into three colleges: the college of the founder, the college of qualified personalities and the college of institutional partners. The Scientific Steering Committee and the Audit Committee support the Board of Directors in decision-making on scientific and financial matters. The Executive Management is responsible for the execution of the decisions of the Board of Directors. The composition of the Council illustrates the FONDATION's desire for dialogue and exchange with civil society and economic players. It is also the guarantee for the great patrons and the donors of a transparent and participative management. The Board of Directors shall elect the officers from among its members. The Board of Directors consists of the President, the Secretary General and the General Treasurer. It meets whenever circumstances so require and at least twice a year.

COLLEGE OF THE FOUNDER

The founder's college includes, in addition to the founder, members appointed by the founder and renewed by him. In case of definitive impediment of the founder, they are chosen by the other members of the college. In case of disagreement within this college, they are co-opted by the entire Board of Directors.

COLLEGE OF QUALIFIED PERSONALITIES

The members of the college of institutional partners are co-opted by the other members of the college in the bodies representing the general interest according to the purpose of the foundation. They are chosen by the other members of the Board of Directors.

COLLEGE OF INSTITUTIONAL PARTNERS

The college of qualified personalities includes the persons co-opted by the other members of the college according to their competence in the field of activity of the Foundation. They are chosen by the other members of the Board of Directors.

EXECUTIVE DIRECTION

The Executive Director directs the services of the FONDATION and ensures its functioning. It has the necessary powers to carry out its mission. In case of incapacity of the president and if the situation so requires, the FOUNDATION can be represented in justice by the Executive Director assigned by a special deliberation of the Board of Directors. The chairman shall appoint him to this post, after obtaining the opinion of the board of directors.
He shall terminate his functions after consultation with the founder and express agreement of the Board of Directors.

SCIENTIFIC ORIENTATION COMMITTEE

A Scientific Steering Committee is composed of six members from the academic world. Its members are appointed by the Board of Directors. It assists the latter in the manner specified by the internal rules, in defining the implementation of the various actions for which the FONDATION takes the initiative. The Chairman of the Board of Directors and the Executive Director of the FONDATION are ex officio members of the Scientific Council. The Scientific Steering Committee submits to the members of the Board of Directors for approval, scientific projects selected on the basis of a call for tender and it is necessary to make proposals on the scientific orientations to be favored.

AUDIT COMMITTEE

An Audit Committee, whose members are appointed by the Board of Directors, assists the Board in the supervision of the management of the FONDATION. At the request of the Board of Directors or the Executive Board of the FONDATION, it may be necessary to give its opinion on particular activities of the FONDATION. Its report is then brought to the attention of the Board of Directors and appended to the minutes of the meeting.
